First of all, "take"only gets used when you take dmg or something similar, not for beneficial stuff.
Anyways, whats the recharge , whats the cost, duration etc?
A skill like this could be interesting on a losing team in gvg but, doubt something like this would ever be made ( skills don't get triggered by dp etc)

Why would you take a skill thats only useful when you are losing? I would rather take a skill that would help from the very start.

It would have to be non-elite, and have a line like 'for 20 seconds' in it, but I do like the idea.

Horrible skill idea IMO. Skills shouldn't have anything to do with death penalty... at 60% DP, that would be 8 energy regeneration 8 health regeneration... all unstrippable.... I'd sac myself to get that.

Also in TA, ultimate weapon you can somewhat consider it.
Have a P/N use a vampiric weapon and use blood renewal and things like Dark Aura. BOOM. 60% DP. Then even if they have low health +8 health regen and +8 energy regen (which will turn out to be +10) is uber. And since this is a shout, get the armor that gives you more armor while affect by a shout and you're a tank.

If you have to do all that for the skill to be useful, then what's the point? 40 duration with 80 recharge is just plain silly.
Let's just fix this up then. The idea with playing off of DP is handy, but to make it elite and usable with a normal set of skills, it should mirror existing skills. Specifically "Never Give Up!" and "Never Surrender!". Here's what I came up with:
"Last Stand!"
Elite Skill - Command
10 Energy / Shout / 20 recharge
For 10 seconds, all party members in earshot below 50..90% health gain +1..7 health regeneration , +1..3 energy regeneration, and +5..20 armor. This skill lasts for 1 additional second for every -15% DP on each party member affected.
