no.
a decent heatsink/fan will be 25 bucks and OEM processors have only a 30 day warranty.
the retail with fan/heatsink are only a few bucks more than OEM and have a 3 YEAR warranty
also why is he selling it??
what is wrong with it
EDIT
newegg has it retail for about 325 so you would not be saving that much (add fan/hs cost) and have no warranty.

I would, most people replace the cooler anyway, it's not a bad price considering he's giving a 1 year warranty

I geuss so =P But I'm more trusting with a company with a heatsink/fan and warranty all in one package than just some guy from a comp store wether I know him or not.
If he gave you a heatsink and a fan then I would consider it.

I wouldn't touch it. I would spend the few extra dollars and get the one from newegg.com for $323. You get the 3 year warranty plus the heatsink and fan, which works fine unless your really going to overclock the heck out of it. Plus right now you get a free copy of Nero Ultra edition with it from newegg. In the end it will cost the same most likely to buy from him since you will still need a heatsink/fan and thermal compound. Free shipping right now also.

Im not sure, the Asrock has AGP and PCIe support, but that has got to be crappy quality, I am going with the gigabyte one in my new build.
